1. Terms

By accessing this web site, you are agreeing to be bound by these web site Terms and Conditions of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this web site are protected by applicable copyright and trade mark law.

2. Use License

  1. Permission is granted to temporarily download one copy of the materials (information or software) on Lunaverus LLC's web site. This is the grant of a license, not a transfer of title, and under this license you may not:
    1. modify or copy the materials, except as allowed by the software license;
    2. use the materials for any public display (commercial or non-commercial);
    3. remove any copyright or other proprietary notations from the materials; or
    4. transfer the materials to another person or "mirror" the materials on any other server.
  2. This license shall automatically terminate if you violate any of these restrictions and may be terminated by Lunaverus at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

3. User Content and Copyright Compliance

You retain all ownership rights to any audio files, musical works, or other content ("User Content") that you upload, submit, or process through the Service. However, by uploading User Content, you grant Lunaverus a limited, non-exclusive, royalty-free license to copy, process, store, and modify the User Content solely for the purpose of providing the transcription services to you.

By using the Service, you represent and warrant that:

  1. You own the copyright in the User Content or have obtained all necessary licenses, permissions, and consents from the copyright owner to upload, transcribe, and create derivative works (sheet music) from the User Content;
  2. The User Content and your use of the Service does not infringe or violate the intellectual property rights, privacy rights, or other rights of any third party; and
  3. You will not use the Service to create sheet music or other transcriptions for the purpose of copyright infringement or illegal distribution.

Indemnification: You agree to indemnify, defend, and hold harmless Lunaverus, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright or privacy right. This defense and indemnification obligation will survive these Terms and your use of the Service.

Lunaverus reserves the right, but not the obligation, to remove User Content or terminate the accounts of users who infringe these terms or the intellectual property rights of others.

4. Disclaimer of Warranties

THE SERVICES, SOFTWARE, AND MATERIALS ON LUNAVERUS LLC'S WEB SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LUNAVERUS MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGATES ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS.

FURTHER, LUNAVERUS DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY, LIKELY RESULTS, OR RELIABILITY OF THE USE OF THE MATERIALS ON ITS INTERNET WEB SITE OR OTHERWISE RELATING TO SUCH MATERIALS OR ON ANY SITES LINKED TO THIS SITE. LUNAVERUS DOES NOT WARRANT THAT THE SOFTWARE OR SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION. NO SERVICE LEVEL AGREEMENT (SLA) IS PROVIDED UNLESS EXPRESSLY AGREED TO IN A SEPARATE WRITTEN AGREEMENT.

5. Limitation of Liability

  1. EXCLUSION OF INDIRECT DAMAGES. IN NO EVENT SHALL LUNAVERUS, ITS SUPPLIERS, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE MATERIALS OR SOFTWARE ON LUNAVERUS'S INTERNET SITE, EVEN IF LUNAVERUS OR A LUNAVERUS AUTHORIZED REPRESENTATIVE HAS BEEN NOTIFIED ORALLY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGE.
  2. LIMITATION OF LIABILITY (CAP). TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUNAVERUS'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO LUNAVERUS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  3. EXCLUSIONS FROM LIMITATIONS. THE LIMITATIONS SET FORTH IN SECTION 5(b) SHALL NOT APPLY TO LIABILITY ARISING FROM: (I) LUNAVERUS’S INDEMNIFICATION OBLIGATIONS REGARDING INTELLECTUAL PROPERTY INFRINGEMENT; OR (II) LUNAVERUS’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.
  4. JURISDICTIONAL LIMITATIONS. BECAUSE SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, OR LIMITATIONS OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THESE LIMITATIONS MAY NOT APPLY TO YOU.

6. Revisions and Errata

The materials appearing on Lunaverus's web site could include technical, typographical, or photographic errors. Lunaverus does not warrant that any of the materials on its web site are accurate, complete, or current. Lunaverus may make changes to the materials contained on its web site at any time without notice. Lunaverus does not, however, make any commitment to update the materials.

7. Links

Lunaverus has not reviewed all of the sites linked to its Internet web site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Lunaverus of the site. Use of any such linked web site is at the user's own risk.

8. Site Terms of Use Modifications

Lunaverus may revise these terms of use for its web site at any time without notice. By using this web site you are agreeing to be bound by the then current version of these Terms and Conditions of Use.

9. Governing Law

Any claim relating to Lunaverus's web site shall be governed by the laws of the State of Washington without regard to its conflict of law provisions.

General Terms and Conditions applicable to Use of a Web Site.

10. Refund Policy

For desktop software, refunds are available for unused activation keys only. There are no refunds for used activation keys or software upgrades. Please use the free trial to evaluate the software before making a purchase.

For web subscriptions, refunds of subscription fees are not available. There is a free tier available to try out the service before subscribing.

11. Old versions of software

For desktop software, some older versions of software may be maintained for download to accommodate users who need to re-install the software and do not want to purchase the latest software updates. Not all older versions will be available for download, but there will be at least 1 older version for every user to download.

12. 3rd Party Software

This software (versions 5.2.0+) uses code of FFmpeg licensed under the LGPLv2.1 and its source can be downloaded here.

13. Software License

Before using the AnthemScore desktop software, you must agree to the terms in the "license.txt" file, which is included in every download of the software. By using the software you are agreeing to these terms.
